Banking and Investments
The role requires an individual with strong knowledge and experience of:
1. All applicable regulations (in the UAE and other international jurisdictions, where appropriate and applicable) on corporate governance including the Securities and Commodities Authority Resolution No. (7RM) 2016 Concerning the Standards of Institutional Discipline and Governance of Public Shareholding Companies.
2.Working on applying applicable sections of the Commercial Companies Law No. 2 of 2015 on corporate governance, protection of shareholders and promotion of social responsibility of banks.
3.Working with banks including Islamic banks and applying Basel Committee on Banking Supervision Guidelines on Corporate Governance Principles for Banks.
4.Strong knowledge of the legal and regulatory legislative requirements with experience in regulatory matters to include engagement with the regulators in their local jurisdictions.
5.Domestic and International Corporate Governance principles and standards relating to: (i) Board of Directors; (ii) Board Committees; (iii) Strong governance process of Internal Control and External Audit; (iv) Risk Governance; (v) Transparency and Disclosure; (vi) Conflict of Interest, including providing relevant information to shareholders, depositors, market participants and other stakeholders, which will promote an effective governance process and the long term soundness of the bank.
6.Corporate governance principles and best practices related to Islamic banks.
7.The application of corporate governance standards and guidelines to Islamic banks.
8.International governance standards applicable to Islamic financial institutions.
9.The Islamic Financial Services Board (IFSB) Principles on Corporate Governance for Institutions Offering Islamic Financial Services.
10.Strong understanding & knowledge of corporate governance frameworks.
Skills / Experience required:
(1)Bachelor's degree in Accounting, Finance or a relevant discipline is mandatory.
(2)An MBA is highly advantageous as is a Masters in Law.
(3)Strong UAE and International legal and regulatory knowledge related to corporate governance principles and standards.
(4)At least 10-15 years of corporate governance and business experience is required.
(5)Strong knowledge and experience in corporate governance.
(6)At least ten (10) years of previous experience working with a board of directors from a reputable entity including in the Middle East and North Africa region.
(7) IT IS MANDATORY FOR THE SUCCESSFUL CANDIDATE TO BE FLUENT IN BOTH ARABIC & ENGLISH.
